The Bombay High Court dismissed three connected appeals filed by members of the Lallubhai Amichand Group, arising from a long-standing family dispute over control, management, and profit sharing within the nearly century-old family business.
The appeals, filed by the petitioners from both Jagmohandas and Rameshchandra Shah’s branches, challenged interim reliefs granted by a Single Judge in 2023. These interim orders restrained certain actions affecting control of the company and its divisions.
The dispute centers on the breakdown of a family arrangement—both oral and written (via a 2010 Memorandum of Understanding)—which had governed the management and division of business responsibilities, profits, and control between the two family branches for decades. The plaintiffs alleged mismanagement, siphoning of funds, and oppression by other family members, especially after the export division, historically managed by them, became the company’s sole profit-making unit.
The Court, after hearing both sides, upheld the interim injunctions and observed that the plaintiffs had made out a prima facie case based on longstanding family understandings and significant contributions to the company. The appeals were accordingly dismissed, allowing the interim reliefs to remain in effect pending final trial.
