The Ministry of Corporate Affairs (MCA) has notified the Companies (Incorporation) Amendment Rules, 2025 through Gazette Notification G.S.R. 426(E), dated June 27, 2025. These rules will come into force from July 14, 2025.
The key highlight of the amendment is the substitution of the existing Form INC-22A with a new e-Form INC-22A (ACTIVE – Active Company Tagging Identities and Verification) under Rule 25A of the Companies (Incorporation) Rules, 2014. The revised form mandates comprehensive disclosures from companies regarding their registered office, directors (with photograph), auditors, CEO/CFO/Company Secretary (if applicable), and statutory filings.
Notably, companies are required to upload photographs of both the external and internal views of the registered office, showing at least one Director or KMP who digitally signs the form. The amendment also includes stricter compliance verification protocols, declarations, and professional certification by a Chartered Accountant, Cost Accountant, or Company Secretary in whole-time practice.
