MCA Invites Public Comments on Companies (Incorporation) Amendment Rules, 2026; Seeks Inputs on Compliance Framework Reform

The Ministry of Corporate Affairs (MCA) has invited public comments on a draft notification proposing amendments to the Companies (Incorporation) Rules, 2014, as part of its ongoing efforts to streamline corporate regulation and improve ease of doing business.
The draft notification, titled Companies (Incorporation) Amendment Rules, 2026, was released pursuant to a public notice dated April 8, 2026, and has been placed on the MCA website for stakeholder consultation. The Ministry has called for suggestions and comments, along with brief justifications, to be submitted through its e-consultation module by May 9, 2026.
In parallel, the MCA, through the Indian Institute of Corporate Affairs (IICA), has initiated a broader consultation exercise aimed at rationalising the filing and compliance framework under the Companies Act, 2013. A concept note outlining the proposed reforms has been made available on the websites of both MCA and IICA for stakeholder inputs.
The consultation seeks feedback across the entire corporate lifecycle, covering three key stages entry, operations, and exit with the objective of simplifying procedures and reducing compliance burdens. Stakeholders may submit their responses electronically through a dedicated portal by May 15, 2026.
