The Delhi High Court has permitted the National Real Estate Development Council (NAREDCO) to proceed with its 28th Annual General Body Meeting (AGM) scheduled for September 30, 2026, while restraining it from adding any new members to its Governing Council in view of an existing Division Bench order.
Justice Tushar Rao Gedela was considering an application seeking an ad-interim stay on the AGM or, alternatively, restrictions on the consideration of certain agenda items. The plaintiffs had challenged, among other things, the elections to NAREDCO’s Governing Council held on October 14, 2025.
The plaintiffs apprehended that Agenda Items 28.1 and 28.4 of the AGM notice would effectively enable NAREDCO to overcome the restrictions imposed by the Court. Agenda Item 28.1 concerned confirmation of the minutes of the 27th AGM held on October 14, 2025, while Agenda Item 28.4 concerned continuation of the existing Governing Council for 2026-27.

The Court examined its earlier order dated March 23, 2026, by which NAREDCO had initially been restrained from holding Governing Council meetings for taking decisions affecting its functioning. The Division Bench subsequently modified that order on April 23, 2026, directing that no further Governing Council members be appointed by NAREDCO until the Single Judge decided the injunction application, while keeping the earlier order stayed.
Justice Gedela held that, in light of the Division Bench’s order, NAREDCO could proceed with the AGM under Agenda Item 28.1, provided it did not take decisions prejudicial to the plaintiffs’ interests protected by the April 23 order.
However, with respect to Agenda Item 28.4, the Court held that the existing bar on appointing further Governing Council members prevented NAREDCO from adding members pursuant to Rule 5 of its Rules and Regulations. The Court observed that NAREDCO could approach the Division Bench for modification or clarification of its April 23 order.
At the same time, the Court clarified that, insofar as Agenda Item 28.4 concerned proposals other than the addition of new Governing Council members, there did not appear to be any prohibition against NAREDCO proceeding with them.
Accordingly, the application was allowed to the extent indicated by the Court and disposed of, with the underlying suit listed for further proceedings on December 1, 2026.
